Terms of Service

By accessing or using stayundisputed.com or any services provided by Undisputed Media LLC ("we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

We provide digital marketing services including, but not limited to, SEO, Google Business Profile optimization, paid media management, content creation, and website development. Specific deliverables, fees, and timelines are defined in a separate written proposal or statement of work ("SOW").

You agree to provide accurate information, timely approvals, and access to required accounts (advertising, analytics, CMS, hosting). Delays or inaccuracies caused by missing inputs may impact deliverables and timelines.

Fees are set in the applicable SOW. Recurring services are billed in advance. Invoices not paid within 15 days are considered past due and may incur a 1.5% monthly late fee. Ad spend is billed directly by the platform to the client unless otherwise agreed. Unless explicitly stated, service fees are non-refundable once work has begun.

Upon full payment, deliverables produced specifically for you become your property, except for our pre-existing tools, frameworks, methodologies, and third-party assets, which we license to you on a non-exclusive basis for use of the deliverables. We may use anonymized performance data and the fact of our engagement for case studies and marketing unless you opt out in writing.

Each party will protect the other's non-public business information with reasonable care and use it only to perform under the engagement.

Our services rely on third-party platforms (Google, Meta, hosting providers, CMS, etc.) whose terms, pricing, and policies are outside our control. We are not responsible for changes, outages, account suspensions, or policy enforcement by these platforms.

Marketing results depend on many factors outside our control. We do not guarantee specific rankings, traffic levels, conversions, or revenue outcomes.

THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold harmless Undisputed Media LLC from claims arising from your content, your products or services, or your breach of these Terms.

Either party may terminate an engagement as specified in the SOW. We may suspend or terminate access to the website for any reason at our discretion. Sections that by their nature should survive termination (IP, confidentiality, disclaimers, limitation of liability) will survive.

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in San Diego County, California. The parties will attempt good-faith resolution before initiating formal proceedings.

We may update these Terms from time to time. Continued use of the website after changes constitutes acceptance.
